Terms of Service

Please read these Terms of Service carefully before using the GeoVation Designs website or membership services. By registering or using our services, you agree to be bound by these terms.

1. Eligibility

You must be at least 18 years of age to register as a member. By registering, you confirm that the information you provide is accurate and complete.

2. Membership & Payments

GeoVation Designs offers the following membership plans:

• Monthly Membership: $4.99 CAD/month + applicable taxes
• Annual Membership: $50.00 CAD/year + applicable taxes

Payments are processed securely through Stripe. By subscribing, you authorize recurring charges to your payment method on the applicable billing cycle.

3. Acceptable Use

As a member, you agree to:

• Use the platform only for lawful purposes
• Not share your login credentials with others
• Not post or share content that is defamatory, illegal, or infringes on others' intellectual property
• Respect the confidentiality of content shared in Private Innovation Rooms
• Not attempt to reverse-engineer or exploit the platform

4. Private Innovation Rooms

Private Innovation Rooms are available to paid members only. All room content (messages and files) is deleted when the room is closed. Members are responsible for downloading any content they wish to retain before closing a room.

5. Intellectual Property

All content on the GeoVation Designs website, including text, graphics, logos, and software, is the property of GeoVation Designs and protected by applicable copyright laws. Members retain ownership of content they share in Private Rooms.

6. Limitation of Liability

To the fullest extent permitted by law, GeoVation Designs shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability shall not exceed the amount you paid in the 30 days preceding the claim.

7. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may cancel your membership at any time by contacting us at geovationdesigns@gmail.com. Any cancellation would become effective at the start of the next calendar month, and the automatic subscription charge with Stripe will cease.

8. Governing Law

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Halifax, Nova Scotia.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated Terms.

Member Confidentiality Agreement

This Member Confidentiality Agreement ("Agreement") applies to all registered members of GeoVation Designs and governs the treatment of confidential information shared within Private Innovation Rooms and other member-only areas of the platform.

1. Definition of Confidential Information

"Confidential Information" means any information shared by a member within a Private Innovation Room, including but not limited to:

• Business ideas, inventions, concepts, or designs
• Technical data, prototypes, or research
• Financial or commercial information
• Personal or organizational strategies

Information that is publicly available or independently developed is not considered confidential under this Agreement.

2. Member Obligations

By participating in a Private Innovation Room, each member agrees to:

• Keep all Confidential Information shared by other members strictly private
• Not disclose, reproduce, or distribute another member's Confidential Information outside the platform without prior written consent
• Use Confidential Information only in connection with collaboration within the platform
• Not use the confidential private room for any illegal activities
• Notify GeoVation Designs immediately if they become aware of any unauthorized disclosure

3. Platform Confidentiality Practices

GeoVation Designs implements the following to support member confidentiality:

• Private Rooms are accessible only to invited, paid members
• All room messages and files are deleted permanently when a room is closed
• Members may download a transcript before closing a room
• Room passwords are optional and controlled by the room creator

4. GeoVation Designs Obligations

GeoVation Designs agrees to:

• Not access Private Room content except as required for technical support specifically requested by email by the creator of the private room, or legal compliance requirements
• Not sell or disclose member-shared content to third parties
• Not interfere or mediate in any conflicts which may arise between any Private Members
• Not accept or respond to complaints which may arise from individual discussions between paid members, occurring within a private room
• Not participate in any way in any transactions which may be agreed to in a private room by paying members who are conducting a transaction related to the Members Garage Sale items. How the sellers and buyers fulfill a transaction is solely under the control of the seller, and related agreement from the buyer and based on what they arrange, including terms of payment, and method of delivery

5. Duration

This Agreement remains in effect for the duration of your membership and for a period of seven (7) years following termination of membership with respect to any Confidential Information received during membership.

6. Remedies

Members acknowledge that a breach of this Agreement may cause irreparable harm for which monetary damages may be inadequate. GeoVation Designs and affected GeoVation Designs staff may seek injunctive or other equitable relief in addition to any other remedies available at law for any criminal activity leading to damages or losses to GeoVation Designs reputation and operations.

7. Governing Law

This Agreement is governed by the laws of the Province of Nova Scotia and the federal laws of Canada. Disputes shall be resolved in Halifax, Nova Scotia.

8. Acknowledgement

By registering as a member or participating in a Private Innovation Room, you acknowledge that you have read, understood, and agree to be bound by this Confidentiality Agreement.
